4.4. In the event of technical difficulties with the installation and/or use of the Software, the Purchaser should contact the Seller for paid setup and/or installation (service cost is calculated separately from this agreement and the price is set individually by the Seller).
WARRANTIES AND LIABILITY
5.1. The Seller guarantees the functionality of the Software when used in accordance with the instructions.
5.2. The Purchaser has the right to demand a refund if there is no technical possibility to use the Software, which is not resolved by paid installation from the Seller as per clause 4.4 of this agreement within 14 days from the date the Purchaser made the payment. The Seller must refund the money to the Purchaser within 7 (seven) working days.
5.3. If the Purchaser refuses the Software according to clause 5.2 of this agreement and returns the money, the Purchaser must delete the Software within 3 (three) days and for 5 (five) years from the date of termination of this offer agreement, not use technologies, settings, code, software, and other IP outcomes provided by the Seller during the validity period of this agreement (in case of a breach of this obligation by the Purchaser – the Seller may demand a penalty payment of $5,000 (US dollars). The fine must be paid by the Purchaser within 10 (ten) calendar days from the date of the respective demand from the Seller).
MUTUAL CONFIDENTIALITY
6.1. Information about the business activities of each Party, materials, products, and other information obtained by the Parties in connection with the performance of this Agreement shall not be disclosed to third parties and is considered confidential.
6.2. In accordance with applicable data protection regulations, the Parties consent to the processing of all personal data provided in the framework of this Agreement, as well as to their transfer to third parties for the purpose of fulfilling the terms of the Agreement.
6.3. The Parties undertake to take all necessary and reasonable measures to prevent the disclosure of confidential information to third parties, except in cases provided by law.
6.4. The confidentiality requirement does not apply to information about the activities of the Parties that has become publicly known without breaching confidentiality obligations.
6.5. Each Party undertakes not to provide access to confidential information to third parties and to create all conditions for its protection from unlawful distribution.
6.6. The Parties undertake to take all necessary precautions to adequately protect information from unauthorized access.
6.7. Each Party is responsible for the disclosure, distribution, or transfer of confidential information to third parties.
6.8. Confidential information includes, but is not limited to, methodological and marketing developments, audio and video recordings, materials, information about rights to intellectual property objects, technical data, and other commercial, financial, or legal information.
6.9. In the event of a confidentiality breach by one Party, the other Party may demand payment of a fine of $5,000, compensation for losses and lost profits. The fine must be paid within 10 calendar days from the date of receipt of the respective demand.
6.10. Copyrights and other rights to the provided materials and information belong to the providing Party from the moment services commence and do not transfer to the other Party, nor may the other Party use this information under any conditions.
